Confidentiality Agreement

This Confidentiality Agreement (“Agreement”) is entered into as of the date signed below by and between Obsido Commercial (“Broker”) and the undersigned party (“Prospect”) regarding the properties located at 2018 Avenue B and 2015 Broadway St (aka 2013 Broadway St), San Antonio, TX (collectively, the “Properties”).

1. Confidential Material
The Prospect agrees to treat all financial, operational, and other information provided by Obsido Commercial regarding the Properties (the “Confidential Material”) as confidential and to use such material solely for the purpose of evaluating the Properties as a potential investment. Confidential Material may not be used for any other purpose or duplicated in any form.

2. Broker Representation or Commissions
The Prospect represents and warrants that it is not represented by a broker or agent in connection with this opportunity unless disclosed in writing to the Broker prior to engaging in negotiations. The Prospect further acknowledges that any commission or compensation to a cooperating broker, if applicable, shall be subject to a separate written agreement with the Prospect, Broker or Seller and shall not be assumed or implied by this agreement.

3. Non-Disclosure Obligations
The Prospect agrees not to disclose any Confidential Material to any party except for its employees, officers, advisors, or lenders (“Representatives”) who have a legitimate need to know for the purpose of evaluating the Properties and who are bound by confidentiality obligations. The Prospect also agrees:
• Not to contact the ownership, tenants, or any affiliates of the Properties directly without prior written consent from Obsido Commercial.
• Not to disclose the existence of this Agreement or the fact that the Properties are under consideration to any third party.

4. Legal Disclosure Requirements
In the event the Prospect is required by law or court order to disclose any Confidential Material, it shall provide Obsido Commercial with prompt written notice to allow for protective measures to be taken, at Obsido Commercial’s expense.

5. Return or Destruction of Confidential Material
If the Prospect decides not to pursue the acquisition of the Properties, it agrees to return or destroy all Confidential Material in its possession upon request by Obsido Commercial.

6. No Obligation to Transact
This Agreement does not obligate either party to enter into any further agreement or transaction concerning the Properties. Only a fully executed purchase agreement shall establish any legal obligations.

7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas.

Acknowledgment and Agreement
By signing below, the Prospect acknowledges and agrees to the terms outlined above.
